CODE OF BUSINESS CONDUCT:
Novanta’s Code of Business Conduct summarizes the virtues and principles that guide all of our actions in business. We expect our agents, consultants, contractors, representatives, and suppliers to be guided by them as well.
SUPPLIER CODE OF CONDUCT:
Novanta is committed to conducting business and sourcing materials and components from responsible suppliers who meet the highest applicable legal and ethical standards. To assist suppliers in meeting Novanta’s expectations, the Supplier Code of Conduct provides basic guidelines for important areas of business conduct.
As used in this Code, “Supplier” refers to any entity providing products, people or services to Novanta, and where applicable, the personnel of the supplier and its subcontractors and agents. Novanta expects its suppliers to comply with these guidelines and always exercise good judgment in applying them to their conduct as a Novanta supplier. A Novanta supplier must conduct its business operations in full compliance with the laws, rules and regulations of the countries in which it operates and all of the laws, rules and regulations applicable to its business and/or products, including but not limited to those described in this Code, and in conformity with the internationally recognized standards of business conduct described in this Code.
ANTI-BRIBERY ANTI-CORRUPTION (ABAC) POLICY:
Novanta Inc. will not do business anywhere in the world through bribes, corrupt payments or any other illegal incentives to any third party to obtain or retain business or to obtain any other advantage for the Company.
ANTI-HARASSMENT POLICY:
Novanta prohibits and will not tolerate any discriminatory harassment or sexual harassment. Novanta does not tolerate any unlawful harassment against employees or any other covered persons because of race, color, religion, creed, national and or ethnic origin, ancestry, sex, pregnancy and maternity, parenthood, marital or familial status, gender, gender identity, age, sexual orientation, age, disability, chronic disease, citizenship, political opinion, genetic information, domestic violence victim status, or service in the uniformed services, or any other characteristic protected under applicable national, state, or local law.
ANTITRUST LAW COMPLIANCE STATEMENT:

Novanta is committed to complying with California Proposition 65, officially known as the Safe Drinking Water and Toxic Enforcement Act of 1986. The proposition protects the state’s drinking water sources from being contaminated with chemicals known to cause cancer, birth defects or other reproductive harm, and requires businesses to inform Californians about exposures to such chemicals. Novanta will meet all California Proposition 65 requirements and is committed to providing our customers with information about substances in our products according to California Proposition 65 requirements.
CHINA ROHS COMPLIANCE POLICY:
Novanta is committed to complying with China RoHS (Restriction of Hazardous Substances), officially known as the Administrative Measure on the Control of Pollution Caused by Electronic Information Products. Novanta will meet all China RoHS requirements and is committed to providing our customers with information about substances in our products according to China RoHS requirements.
CONFLICT MINERALS RESPONSIBLE SOURCING POLICY:
Novanta is committed to complying with all laws and regulations applicable to our business, including laws and regulations concerning responsible sourcing of minerals. Our Responsible Sourcing Policy is a key element of our commitment to an ethical and sustainable supply chain.

REGISTRATION, EVALUATION, AUTHORIZATION AND RESTRICTION OF CHEMICALS (REACH) COMPLIANCE POLICY:
Novanta is committed to complying with the Registration, Evaluation, Authorization and Restriction of Chemicals (REACH) Regulation (EC 1907/2006). The aim of REACH, which entered into force on June 1, 2007, is to improve the protection of human health and the environment through the better and earlier identification of the intrinsic properties of chemical substances. Novanta will meet all REACH requirements and is committed to providing our customers with information about substances in our products according to REACH requirements.
RELATED PARTY TRANSACTION POLICY:
It is the policy of the Board of Directors of Novanta that all Related Party Transactions shall be subject to review in accordance with the procedures set forth in this Policy. The Audit Committee of the Board has the authority and responsibility of reviewing all Related Party Transactions.
RESTRICTION OF HAZARDOUS SUBSTANCES (ROHS) AND WASTE ELECTRICAL AND ELECTRONIC EQUIPMENT DIRECTIVE (WEEE) COMPLIANCE POLICY:
Novanta is committed to complying with the Restriction of Hazardous Substances Directive (RoHS), also known as Directive 2002/95/EC, which restricts the use of specific hazardous materials found in electrical and electronic products, taking effect on July 1st, 2006. Novanta is also committed to complying with the closely linked Waste Electrical and Electronic Equipment Directive (WEEE), also known as Directive 2002/96/EC, which mandates the treatment, recovery and recycling of electrical and electronic equipment.
